Terms of Service

Welcome to Persu. These Terms of Service ("Terms") govern your access to and use of the Persu website, application, and related services (collectively, the "Service") operated by Persu ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and "you" refers to both you individually and the organisation.

2. Description of Service

Persu is an AI-powered financial assistant designed for small businesses. The Service allows you to connect third-party financial data providers and accounting platforms (such as Xero, QuickBooks, FreeAgent, Sage, and others), as well as open banking services, to aggregate, analyse, and present your financial data through a conversational AI interface and dashboard.

The Service uses artificial intelligence to interpret your financial data and provide insights, summaries, and responses to your queries. The specific features and integrations available may change over time as we develop the Service.

3. Account Registration and Security

To use the Service, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your password and any authentication codes.

You agree to:

  • Provide truthful, accurate, and current information during registration
  • Keep your account credentials secure and confidential
  • Notify us immediately at hello@persu.io if you suspect any unauthorised access to your account
  • Accept responsibility for all activity that occurs under your account

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service in any way that violates any applicable law or regulation
  • Attempt to gain unauthorised access to any part of the Service, other user accounts, or any systems or networks connected to the Service
  • Use the Service to transmit any malicious code, viruses, or harmful data
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means (bots, scrapers, or similar tools) to access the Service without our prior written consent
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service for any fraudulent, deceptive, or misleading purpose
  • Resell, redistribute, or sublicense access to the Service without our prior written consent

5. Third-Party Integrations

The Service may enable you to connect to third-party financial data providers, accounting platforms, and open banking services. When you connect a third-party service, you authorise us to access, retrieve, and process your financial data from that service in order to provide the Service to you.

You acknowledge and agree that:

  • Your use of third-party services is subject to those services' own terms and conditions and privacy policies
  • We are not responsible for the availability, accuracy, or completeness of data provided by third-party services
  • We do not endorse and are not liable for any third-party service's actions, content, or practices
  • You are responsible for maintaining valid credentials and authorisations with any third-party services you connect
  • Third-party services may change their APIs, terms, or availability at any time, which may affect the functionality of the Service

6. AI Disclaimer — Not Financial Advice

The Service uses artificial intelligence to analyse your financial data and provide insights and responses. The information provided by Persu does not constitute financial advice, tax advice, accounting advice, or any other form of professional advice.

You acknowledge and agree that:

  • AI-generated outputs may contain errors, inaccuracies, or omissions
  • You should not rely solely on the Service for financial decisions
  • You should always consult a qualified accountant, financial adviser, or other appropriate professional before making financial decisions based on information provided by the Service
  • We do not guarantee the accuracy, completeness, or reliability of any AI-generated content
  • The Service is a tool to assist your understanding of your financial data, not a replacement for professional financial advice

7. Intellectual Property

The Service, including its design, code, features, branding, logos, and all related intellectual property, is owned by Persu and is protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property, except for the limited right to use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.

8. Your Data

You retain ownership of all financial data and content you provide to or make available through the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive licence to access, process, store, and analyse Your Data solely for the purpose of providing and improving the Service.

We will handle Your Data in accordance with our Privacy Policy. You acknowledge that:

  • You are responsible for the accuracy and legality of Your Data
  • We may use anonymised and aggregated data (which cannot identify you) to improve the Service and for analytical purposes
  • Upon termination of your account, we will delete Your Data in accordance with our data retention policies and applicable law

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components
  • In no event shall Persu, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, goodwill, or business opportunities, arising out of or in connection with your use of the Service
  • Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred pounds sterling (GBP 100), whichever is greater

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Persu, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you provide through the Service. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

11. Termination

You may terminate your account at any time by contacting us at hello@persu.io or by using the account deletion feature within the Service, where available.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that:

  • You have violated these Terms
  • Your use of the Service poses a security risk or may cause harm to other users or the Service
  • We are required to do so by law
  • We discontinue the Service or any part of it

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including, without limitation, intellectual property, limitation of liability, indemnification, and governing law) shall survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Effective date" at the top. We may also notify you via email or through the Service.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and close your account.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Persu regarding your use of the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
